Ferretti Group, bloccata la nomina del nuovo cda. La battaglia legale per la governance

Ferretti S.p.A. (“Ferretti”) rende noto che, in data 9 giugno 2026, è stato promosso da Azur a.s. contro la stessa, avanti il Tribunale di Bologna, un atto di citazione ai sensi degli articoli 2377 e 2378 cod. civ. volto, inter alia, a far dichiarare la nullità e/o l’annullamento delle delibere assunte dall’assemblea dei soci di Ferretti del 14 maggio 2026, in punto di nomina del nuovo consiglio di amministrazione, numero dei componenti e nomina del collegio sindacale. Parte attrice ha altresì promosso l’iniziativa ex art. 2377, comma 3, cod. civ. e art. 700 c.p.c. volta a sospendere in via cautelare l’efficacia di tali delibere.

Ferretti, preso atto della notifica dell’atto di citazione, – si legge nel comunicato – tutelerà i propri diritti avvalendosi delle opportune consulenze legali, al fine di difendersi e di far accertare la assoluta correttezza del proprio operato nella competente sede. Ferretti conferma che, alla data di pubblicazione del presente comunicato stampa, i propri organi sociali sono pienamente operativi nell’esercizio delle rispettive funzioni e responsabilità e che la propria attività, i rapporti con i clienti, le iniziative commerciali e i progetti strategici proseguono regolarmente. Il giudizio promosso da Azur a.s. contro Ferretti non ha alcun impatto sull’operatività della stessa, il cui management rimane pienamente concentrato sull’attuazione del proprio piano aziendale, sul servizio ai clienti in tutto il mondo e sulla creazione di valore a lungo termine per tutti gli azionisti. Ferretti manterrà informati i propri azionisti in merito all’evoluzione della vicenda, in conformità alla normativa e ai regolamenti applicabili.

Rights groups renew call to free jailed Cambodian environmental activists

BANGKOK — Seven hundred days after activists from the environmental group Mother Nature Cambodia were imprisoned on charges widely regarded as retaliatory for their activism, 73 international and Cambodian civil society organizations have renewed calls for their unconditional release. After a trial lasting just over a month, 10 activists from Mother Nature Cambodia were sentenced on July 2, 2024, to between six and eight years in prison. Only five of the defendants attended the hearings, which saw Long Kuntha, 28, Ly Chandaravuth, 26, Phuon Keoraksmey, 25, and Thun Ratha, 34, each sentenced to six years behind bars for plotting against the government; fellow activist Yim Leanghy, 36, received an eight-year sentence for both plotting against the government and insulting the king. The five activists who did not attend the trial were sentenced in absentia.
